On February 23, 2017 Mr. Jeffry B. Fuqua, Chairman of the Board of Directors (the “Board”) of Consolidated-Tomoka Land Co. (the “Company”) notified the Company of his intent not to stand for re-election to the Board at the Company’s 2017 annual shareholder meeting in April 2017. Mr. Fuqua’s decision not to stand for re-election was not due to any disagreement with the Company on any matter.
A copy of the press release announcing Mr. Fuqua’s notification to the Company is furnished as an exhibit to this Form 8-K as Exhibit 99.1.
