Explanation of Responses:

1. The Reporting Person transferred shares of Common Stock to the interim trustee of an exchange fund (Fund) pending closing of the Fund (Closing). Upon the Closing, some or all of the shares of Common Stock will be accepted by the Fund in exchange for shares of the Fund, with any remaining shares of Common Stock being returned to the Reporting Person. The Common Stock will be valued at the closing price of Common Stock at such time as the shares are accepted by the Fund. Upon Closing, the Reporting Person will amend this Form 4 to reflect the final number of shares accepted by the Fund and the value of such shares

2. Shares are being held by the interim Trustee pending Closing.

3. The Reporting Person disclaims beneficial ownership of all securities held by spouse.
