in an underwritten public offering of $200,000,000 aggregate principal amount of the Company's 6 3/4% Senior Notes due November 15, 2004 (the "Notes") under the Company's previously filed Registration Statement on Form S-3 (Registration No.
333-28925), as amended by Amendment No. 1 on July 1, 1997 (the "Registration Statement"), and the related Prospectus dated July 2, 1997 and Prospectus Supplement dated November 9, 1999.
