Item 8.01 Other Events.
On July 6, 2006, Argon ST, Inc. (the ‘Company’) announced that it completed the acquisition of San Diego Research Center Incorporated (SDRC), effective July 3, 2006, for approximately $41 million in cash. SDRC expects to recognize approximately $20 million in revenues for the fiscal year ending September 30, 2006, and is expected to increase Argon’s fourth quarter revenue by approximately $5 million. The acquisition is expected to be accretive in fiscal year 2007. The Company’s press release, dated July 6, 2006, is attached as Exhibit 99.1
