Item 8.01 Other Events.

On May 16, 2019, the Board of Directors of The Dayton Power and Light Company (“DP&L”), the principal subsidiary of DPL Inc., appointed Vincent Parisi as President and Chief Executive Officer of DP&L, effective June 3, 2019.

A copy of the press release announcing Mr. Parisi’s appointment is attached as Exhibit 99.1 to this Current Report on Form 8-K.
