Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 19, 2012, the Board of Directors of Baylake Corp. appointed Dean J. Nolden to serve as a member of the Board until the 2013 annual shareholders meeting, at which time it is expected that he will be nominated for election to a full term on the Board. It is expected that Mr. Nolden will serve as a member of the Audit and Risk Committee. A copy of the press release announcing the appointment of Mr. Nolden is attached hereto as Exhibit 99.1.
There are no arrangements or understandings between Mr. Nolden and any other persons pursuant to which he was selected as a director. Mr. Nolden has not engaged in any transactions with the Company since the beginning of 2011 in which the amount involved exceeds $120,000, and there is no such transaction currently proposed.
