Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On February 5, 2015, the Board of Directors of Baylake Corp. appointed Bill Murphy to serve as a member of the Board until the 2015 annual shareholders meeting, at which time it is expected that he will be nominated for election to a full term on the Board. A copy of the press release announcing the appointment of Mr. Murphy is attached hereto as Exhibit 99.1.
There are no arrangements or understandings between Mr. Murphy and any other persons pursuant to which he was selected as a director. Mr. Murphy has not engaged in any transactions with the Company since the beginning of 2014 in which the amount involved exceeds $120,000, and there is no such transaction currently proposed.
