This filing relates to the proposed transaction between SJW Group (“SJW Group”) and Connecticut Water Service, Inc. (“CTWS”) pursuant to the Second Amended and Restated Agreement and Plan of Merger, dated as of August 5, 2018, among SJW Group, Hydro Sub, Inc. and CTWS.
The following is an email that CTWS’s Director of Corporate Communications sent to local officials on August 6, 2018.

Good Morning:
This morning Connecticut Water announced a change to the financial terms of the agreement with SJW Group that would combine the two companies, and you’ll likely see this covered in the media. We want to assure you that the original commitments we made about the benefits to customers, communities and employees remain unchanged and are just as compelling as when we announced the combination with SJW a few months ago.
Specifically, you should know:
• | there will beno change in customer rates as a result of the merger; |
• | we willretain our company names, local offices and employee teams to serve our customers and communities; |
• | there will beno merger related job losses, layoffs or significant changes to benefits or compensation; |
• | there will be aNew England headquarters in Clinton, CT with leadership and decision makers available here; and |
• | we will continue tosupport current community involvement and giving. |
The SJW Group is very similar to Connecticut Water:

While we work through the process to combine our companies, Connecticut Water Company’s Board, management team and employees remain focused on delivering a reliable supply of safe drinking water and service, ensuring for public safety through robust public fire protection and being a trusted partner in economic development.
