This filing relates to the proposed transaction between SJW Group (“SJW Group”) and Connecticut Water Service, Inc. (“CTWS”) pursuant to the Second Amended and Restated Agreement and Plan of Merger, dated as of August 5, 2018, among SJW Group, Hydro Sub, Inc. and CTWS.

We are pleased to share some additional information as a follow up to the communication on Thursday, August 16th, regarding the SJW Board’s decision to reject the revised offer from California Water.
On Friday, August 17th, California Water announced that it has withdrawn its revised proposal to acquire SJW Group for $70.00 per share in cash after it was rejected by the SJW Board. California Water will also terminate its tender offer to acquire all outstanding shares of SJW common stock.

This morning, CTWS filed its preliminary proxy statement with SEC for the proposed transaction with SJW.
The proxy includes information for CTWS shareholders on the background of the transaction with SJW and the items that require shareholder approval.
This is a preliminary proxy because it needs to be reviewed by the SEC. There is a possibility the SEC will have questions and/or comments that will need to addressed before the SEC deems it ‘Effective’. This process may take several weeks.
Once the proxy is deemed effective by the SEC a special meeting date for the shareholder vote can be scheduled.
