Item 8.01 Other Events.
As previously reported, Bancinsurance Corporation’s (the "Company") Chief Financial Officer and Vice President of Specialty Products had each received a "Wells Notice" (the "Notice") from the staff of the SEC indicating that the staff was considering recommending that the SEC bring a civil action against each of them for possible violations of the federal securities laws. The Notice provided each officer the opportunity to present their positions to the staff before the staff recommends whether any action should be taken by the SEC. On February 3, 2010, the Company was informed that the SEC staff had completed its investigation as to each officer and does not intend to recommend to the Commission any enforcement action against either officer.
