2. Energen Corporation Deferred Compensation Plan; number of securities is estimated based on recordkeeper's unit accounting.

3. The option became exercisable in three equal annual installments of 1,699 each on January 24, 2014, 2015, and 2016, respectively.

4. The option became exercisable in three equal annual installments of 1,689 each on January 22, 2015, 2016, and 2017, respectively.

5. On February 10, 2018, 5,885 restricted stock units vested, with 1,588 shares withheld for taxes on February 12, 2018.
