Item 1.01. Entry into a Material Definitive Agreement.
On June 24, 2008, the Board of Directors approved forms of indemnity agreements (the "Form Agreements") between the Company and its current and future directors and certain of its current and future officers. The Form Agreements, among other things, indemnify a director or officer, respectively, under the circumstances and to the extent provided for therein, for expenses, judgments, fines and certain other amounts such director or officer may be required to pay in actions or proceedings to which he or she is or may be made a party by reason of his or her position as a director or officer, to the fullest extent permitted under Virginia law and the Company's Articles of Incorporation and Bylaws. The Form Agreements are attached hereto as Exhibits 10.1 and 10.2, respectively, and are incorporated herein by reference.
