Explanation of Responses:

1. Restricted Stock Units were awarded on 7/22/19 under the Company's Long-Term Incentive Plan. The units will vest and be converted into common stock as follows: 50% upon third anniversary; the remaining 50% will vest one-third per year on the first, second and third anniversaries of the date of grant if, subject to certain exceptions, the holder remains in the employ of the Company through such date or if the holder is terminated other than for cause prior to the third anniversary of the date of grant.
