Explanation of Responses:

1. Transaction reflects vesting and conversion into shares on a one-for-one basis of restricted stock units previously awarded.

2. Restricted stock units vest on the date of our 2024 annual shareholder meeting, which is expected to be April 25, 2024; provided, however, that the Company is amending the filing to note that the Reporting Person has opted to defer delivery of the shares until January 15, 2028.
