Item 8.01. Other Events.
On April 14, 2009, Cogo Group, Inc., (the “Company”) a Maryland corporation, issued a press release announcing that the Company entered into a purchase agreement to acquire Mega Smart Group Limited (“Mega Smart”). The purchase agreement with Mega Smart provides for the purchase by the Company of all of the issued and outstanding ordinary shares of Mega Smart payable in cash. The acquisition of Mega Smart will support the expansion of the Company’s business into China’s industrial applications market. The to be acquired team includes 20 key sales and engineering specialists dedicated to developing customized modules for these verticals.
