Comerica Incorporated (“Comerica”) entered into an Underwriting Agreement, dated as of July 24, 2007 (the “Underwriting Agreement”), with Banc of America Securities LLC and Barclays Capital Inc., as representatives of the several underwriters named on Schedule 1 to the Underwriting Agreement (the “Underwriters”), pursuant to which Comerica agreed to issue to the Underwriters $150,000,000 aggregate principal amount of Floating Rate Senior Notes due 2010.
A copy of the Underwriting Agreement, the form of the Floating Rate Senior Note and the Indenture governing the Floating Rate Senior Notes are attached hereto as Exhibits 99.1, 99.2 and 99.3, respectively.
