(b) Departure of a Named Executive Officer

     Effective as of January 31, 2011, Carl C. Wertz, the Company’s Vice President, Finance and Investor Relations, retired from his position in the Company, as well as his director positions in Company’s subsidiaries and affiliated companies. Mr. Wertz served as the Company’s Chief Financial Officer, Secretary and Treasurer from 1998 to 2009. The Company expressed its appreciation for Mr. Wertz’s service to the Company.
