ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On November 17, 2005, the Compensation Committee of the Board of Directors of Dollar General Corporation approved increases to the salaries of certain named executive officers (i.e., the top 5 most highly compensated officers listed in the Company’s proxy statement). Effective December 1, 2005, those salaries will be:

Store Operations and Store Development
