Item 8.01. Other Events and Regulation FD Disclosure.
On February 24, 2010, Donaldson Company, Inc. (the “Company”) announced that the Company’s Board of Directors has increased the quarterly common stock cash dividend by 4 percent, marking the 24th consecutive year of dividend increases.
The Board declared a regular cash dividend of 12 cents per share, payable March 19, 2010 to shareholders of record as of March 5, 2010. As of January 31, 2010, there were approximately 77,200,000 shares outstanding. The current declaration is the 218th consecutive quarterly cash dividend paid by Donaldson over a time span of 54 years.
