RRD-Chatham Transaction Partner Letter
Today we announced that we have terminated our merger agreement with affiliates of Atlas Holdings LLC and have entered into a new merger agreement with affiliates of Chatham Asset Management, LLC. You can read our press release here [HYPERLINK].
Our commitment to you remains of the utmost importance. Based in New Jersey, Chatham is a private investment firm with a history of making investments in the print media and marketing communications industries. Like our previous agreement with affiliates of Atlas, this announcement means we will no longer be a publicly traded company once the transaction has closed.
As for next steps, the transaction is expected to close in the first half of 2022, subject to customary closing conditions, including approval by RRD stockholders and receipt of regulatory approvals. Until the transaction closes, our operations will continue as usual, and we will continue to support and meet the needs of our partners as we always have. We expect a seamless transition and expect no changes in how we work together.
