On February 2, 2022, R. R. Donnelley & Sons Company (the “Company”) issued a press release announcing that a strategic party who had submitted an unsolicited non-binding and conditional offer to acquire the Company for $11.50 per share has withdrawn its “Alternative Acquisition Proposal” (as defined in the previously announced Agreement and Plan of Merger, dated as of December 14, 2021, by and among Chatham Delta Parent, Inc., Chatham Delta Acquisition Sub, Inc. and the Company (the “Merger Agreement”)), which was previously announced on December 29, 2021 and January 20, 2022. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
