ALCO STORES, INC. ANNOUNCES
AMENDMENT AND RESTATEMENT OF RIGHTS AGREEMENT
Coppell, TX (June 9, 2014) — ALCO Stores, Inc. (Nasdaq: ALCS) (“ALCO” or the “Company”), a general merchandise retailer specializing in providing a superior selection of essential products for everyday life in small-town America, today announced that its Board of Directors (the “Board”) has approved the amendment and restatement of its stockholders rights agreement (the “Rights Plan”) to to remove changes to the Rights Agreement adopted in a prior amendment exclusively for the purposes of the unconsummated transaction with an affiliate of Argonne Capital Group, LLC, to consolidate other changes in prior amendments to the Rights Agreement and to provide that the Rights Agreement will terminate pursuant to its terms unless it is approved by the Company’s stockholders at the upcoming Annual Meeting of Stockholders, or approved by the Company’s stockholders at a later date prior to September 30, 2014. The Board believes this action is in the best interests of the Company’s stockholders and will enhance shareholder value and control while retaining the Rights Plan’s protections that require any potential acquirer treat all stockholders fairly and equally. The Company today mailed a letter to each stockholder summarizing the changes to the Rights Plan in detail.
