On February 27, 2013, the Registrant issued a press release to announce that Kenneth M. Darby has informed the Board of Directors of his decision to retire as Chief Executive Officer and President no later than December 31, 2013. Mr. Darby will continue to serve in his current capacity until a successor is named and the CEO transition is complete. A copy of the press release is attached hereto as Exhibit 99.1.
