(b) On July 24, 2014, Kenneth M. Darby informed the Company by letter that he will step down as the Chief Executive Officer and as a Director of the Company, effective September 30, 2014. No successor has been named, but, as previously announced, the Company has formed a search committee and is actively seeking a replacement CEO.
