Explanation of Responses:

1. Represents the closing stock price of Akorn's common stock on September 2, 2016, which was the most recent trading day prior to the vesting date of the underlying restricted stock units, which vested on Labor Day, Monday, September 5, 2016. The election to satisfy the tax obligation related to this vesting by having the Company withhold the necessary number of shares of Akorn common stock was made on September 12, 2016.

2. Following the reported transaction the amount of shares beneficially owned includes 61,211 unvested shares subject to restricted stock awards and 385,576 shares owned outright.
