Item 8.01:  Other Events
On February 23, 2006, the company signed a letter of intent to purchase a drilling rig and other personal property and equipment from Ada Energy Services, LLC. The agreement is subject to execution of a definitive purchase agreement, completion of certain repairs and provision of other information. Closing is expected to occur in mid-March 2006.
While TXCO owns and operates other oil field related assets, this acquisition would be the first acquisition of its kind by the company.
