Item 8.01: Other Events
On October 20 and 21, 2008, TXCO Resources Inc. (the "Company" or "TXCO") was informed that certain holders of a total of 12,000 shares of TXCO's Convertible Preferred Stock Series D (the "Preferred") were exercising their right to convert those shares into shares of common stock of TXCO.
In connection with the conversion, the Company will issue approximately 1,060,000 shares of its common stock to holders of the Preferred. The shares are required to be delivered to each holder within three days of the Company's receipt of a notice of conversion.
