ITEM 2.04          Triggering Events That Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.

On July 13, 2005, Alabama Gas Corporation ("Company") provided notice to The Bank of New York Trust Company, as trustee, that the Company will voluntarily redeem at par a portion of the Medium-Term Notes issued pursuant to the Alabama Gas Corporation Indenture dated as of November 1, 1993. The Company elected to redeem the following notes:

1. Alabama Gas Corporation Medium-Term Notes, Series A, CUSIP #01028QAR9 in the principal amount of $7,000,000 with an original issue date of June 27, 1995, a stated maturity date of June 27, 2007, and an annual interest rate of 6.83%
2. Alabama Gas Corporation Medium-Term Notes, Series A, CUSIP #01028QAS7 in the principal amount of $5,000,000 with an original issue date of June 30, 1995, a stated maturity date of June 30, 2008, and an annual interest rate of 6.99%; and
3. Alabama Gas Corporation Medium-Term Notes, Series A, CUSIP #01028QAU2 in the principal amount of $6,000,000 with an original issue date of July 5, 1995, a stated maturity date of July 5, 2022, and an annual interest rate of 7.67%.

The redemption date will be August 15, 2005 for all of the described notes.
