On March 9, 2020, in connection with an announced combination (the “Combination”) of Aon plc, a company incorporated under the laws of England and Wales (“Aon UK”), and Willis Towers Watson Public Limited Company, an Irish public limited company (“WTW”), Aon UK and WTW issued an announcement (the “Rule 2.5 Announcement”) pursuant to Rule 2.5 of the Irish Takeover Panel Act, 1997, Takeover Rules 2013. A copy of the Rule 2.5 Announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
On March 9, Aon UK and WTW issued an amendment to the Rule 2.5 Announcement (the “Amendment”) to correct a clerical error. A copy of the Amendment is furnished as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated by reference herein.
On March 9, 2020, Aon UK and WTW held a joint live conference call and webcast related to the Combination. A copy of the presentation discussed on the conference call and webcast is furnished as Exhibit 99.3 to this Current Report on Form 8-K and is incorporated by reference herein.
On March 9, 2020, copies of the documents furnished as Exhibits 99.4, 99.5 and 99.6 were disseminated by Aon UK in connection with the announcement of the Combination.
