Item 5.02 Entry Into a Material Definitive Agreement.
On March 26, 2008, the Compensation Committee of the Board of Directors of Range Resources Corporation (the “Company”) established threshold, target and excellent bonus levels to be paid as incentive cash awards (“Annual Incentive Awards”) to the Company’s executives for fiscal 2008 pursuant to the Company’s 2005 Equity-Based Compensation Plan (the “2005 Plan”). The table below sets forth the threshold, target and excellent bonus levels applicable to the Company’s principal executive officer, principal financial officer and the other named executive officers, expressed as a percentage of each executive’s base salary:

For purposes of the Annual Incentive Awards under the 2005 Plan, the Company’s performance for fiscal 2008 will be evaluated based upon achievement of certain predetermined targets for the following five performance criteria:

| • | | pre-tax earnings before interest, depreciation, depletion and amortization, and exploration expense (excluding any non-cash revenues and expenses) (“EBITDAX”); |

| • | | production per share; |
|
| • | | reserves per share; and |
|
| • | | stock price performance. |
