Explanatory Note
This registration statement on Form 8-A is being filed to change the registration of the common stock, $0.30 par value (the “Common Stock”), of Team, Inc., a Texas corporation (“Team”), from Section 12(b) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), to Section 12(b) under the Exchange Act in connection with the listing of Common Stock on the NASDAQ Stock Market LLC (“NASDAQ”). The Common Stock is currently registered under Section 12(b) of the Exchange Act and is listed on the American Stock Exchange (“AMEX”). Team anticipates that the Common Stock will be suspended from listing on AMEX at the close of trading on December 27, 2006; the Common Stock will commence listing on NASDAQ at the open of trading on December 28, 2006.
