Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On April 13, 2017, the Board of Directors (the “Board”) of Maxwell Technologies, Inc. (the “Company”) appointed John Mutch to serve as a director of the Company, effective immediately. At this time, Mr. Mutch has not been appointed as a member of any of the standing committees of the Board.
The Company’s Certificate of Incorporation and Bylaws provide for its Board to be divided into three classes, with each class having a three-year term. Mr. Mutch will be a member of Class III of directors, for election at the 2017 annual meeting of stockholders for terms expiring at the 2020 annual meeting of stockholders.
Mr. Mutch will participate in the Company’s standard compensation program for non-employee directors, as described in the Company’s proxy statement filed with the Securities and Exchange Commission on April 29, 2016. Mr. Mutch will also enter into the Company’s standard form of indemnification agreement.
The selection of Mr. Mutch to serve as a member of the Board was not pursuant to any arrangement or understanding between Mr. Mutch and any other person.
