Item 1.01 Entry into a Material Definitive Agreement
On August 25, 2005, Elk Premium Building Products, Inc., a wholly-owned subsidiary of ElkCorp, and Joseph and Susan Pressutti, both individually and as trustees of the Pressutti Family Trust, entered into a purchase agreement pursuant to which Elk Premium Building Products, Inc. acquired all of the outstanding shares of common stock of RGM Products, Inc., a privately-held manufacturer of high-profile hip and ridge and other roofing related products based in Fresno, California, and certain related assets for approximately $24.3 million in cash and the assumption of $10.7 million of indebtedness.
