| 1. The shares of the issuer are owned directly by S&T International Distribution Ltd., which is a wholly owned subsidiary of Grande N.A.K.S. Ltd., which is a wholly owned subsidiary of The Grande Holdings Limited ("Grande"). As disclosed on the issuer's Current Report on Form 8-K filed on October 2, 2017, on September 26, 2017, Wealth Warrior Global Limited acquired 3,616,495,378 shares of Grande, representing approximately 65.85% of the outstanding share capital of Grande, from Sino Bright Enterprises Co., Ltd., a wholly owned indirect subsidiary of the Ho Family Trust. Accolade (PTC) Inc. is the trustee of the Ho Family Trust. Upon consummation of the share transaction, Accolade (PTC) Inc. no longer beneficially controlled the voting and disposition of the shares of the issuer beneficially owned by Grande. |
| 2. Mr. Ho is a discretionary beneficiary of the Ho Family Trust and the Chairman of the Board of the issuer and, prior to the transaction described in footnote 1, may have been deemed to share beneficial ownership of the shares owned by S&T International Distribution Ltd. Mr. Ho disclaims beneficial ownership of the shares owned by S&T International Distribution Ltd. The filing of this statement shall not be deemed an admission that, for purposes of Section 16 of the Securities Exchange Act of 1934 or otherwise, Mr. Ho is the beneficial owner of equity securities described in this statement as indirectly owned. |
