Item 5.07 Submission of Matters to a Vote of Security Holders.
On April 25, 2013, The Empire District Electric Company (the “Company”) held its annual meeting of the Company’s shareholders (the “Annual Meeting”) in Joplin, Missouri. At the Annual Meeting, the shareholders of the Company (1) elected three directors for three year terms, (2) ratified the appointment of PricewaterhouseCoopers LLP as independent auditors for the fiscal year ending December 31, 2013, (3) approved, on a non-binding advisory basis, the compensation of the Company’s named executive officers as disclosed in the proxy statement and (4) did not approve a stockholder proposal requesting the Company prepare a report on plans to reduce risk throughout its energy portfolio by pursuing cost effective energy efficiency resources.
