Item 4.01. Changes in the Registrant’s Certifying Accountant.
On September 22, 2004, the Registrant’s Audit Committee dismissed PricewaterhouseCoopers LLP (“PWC”) as the Registrant’s independent registered public accounting firm. PWC’s reports on the Registrant’s consolidated financial statements for each of the years ended June 30, 2003 and 2004 did not contain an adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principle. During the fiscal years ended June 30, 2003 and 2004, and through September 22, 2004 there were no disagreements with PWC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure which, if not resolved to PWC’s satisfaction, would have caused PWC to make reference to the subject matter in connection with its reports on the Registrant’s consolidated financial statements for such years; and there were no reportable events as defined in Item 304(a)(1)(v) of Regulation S-K.
On September 22, 2004, the Audit Committee appointed Grant Thornton LLP as the Registrant’s independent registered public accounting firm for the 2005 fiscal year. During the Registrant’s two most recent fiscal years and through September 22, 2004, neither the Company nor anyone on its behalf consulted with Grant Thornton LLP regarding any of the matters or reportable events listed in Items 304(a)(2)(i) and (ii) of Regulation S-K.
