On February 7, 2008, Energy Conversion Devices, Inc. (“ECD” or the “Company”) issued a press release announcing its consolidated financial results for the second quarter of fiscal year 2008. A copy of the press release announcing the financial results is filed as Exhibit 99.1 to this report.

On February 5, 2007, the Company’s Board of Directors appointed Christopher Belden as a member of the Board of Directors. Mr. Belden, 47, was most recently Group Vice President of Global Operations for Applied Materials, Inc., a global leader in nanomanufacturing technology solutions for the electronics industry, where he was responsible for volume manufacturing, supply chain management, reliability, quality and worldwide facilities. Prior to joining Applied Materials, Mr. Belden was Senior Vice President of Manufacturing for Motorola Semiconductor Products Sector, which became known as Freescale Semiconductor in 2004.
