Amendment of Agreement and Plan of Merger
As previously announced, on October 9, 2018, Esterline Technologies Corporation, a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with TransDigm Group Incorporated, a Delaware corporation (“Parent”), and Thunderbird Merger Sub Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub”), pursuant to which, among other things, Merger Sub will merge with and into the Company, with the Company surviving as a wholly owned subsidiary of Parent (the “Merger”). On October 10, 2018, the parties entered into a First Amendment to the Merger Agreement to correct a scrivener’s error in Section 5.05(c) (“Amendment No. 1”).
Other than as expressly modified pursuant to Amendment No. 1, the Merger Agreement, which was previously filed as Exhibit 2.1 to the Current Report on Form8-K filed with the Securities and Exchange Commission by the Company on October 10, 2018, remains in full force and effect as originally executed on October 9, 2018.
