Explanatory Note
On May 4, 2005, IKON Office Solutions, Inc. (the “Company”) filed a current report on Form 8-K (the “Initial Form 8-K”) to, among other things, furnish an exhibit describing certain preliminary and unaudited financial information relating to the Company’s discontinued operations for fiscal 2004 as well as the first two quarters of fiscal 2005. The Company is herein amending and restating exhibit 99.3 filed with its Initial Form 8-K.

The Company is furnishing as Exhibit 99.3 to this report selected unaudited financial information relating to the Company’s discontinued operations for fiscal 2004 as well as the first two quarters of fiscal 2005.
