Explanation of Responses:

1. Represents withholding of shares to satisfy tax obligations upon the vesting of restricted stock.

2. Includes 26,500 shares reported on the Form 4 filed February 24, 2017 as being indirectly held by the reporting person. Transactions occurring on December 7, December 6, August 22, August 19, May 12, and May 11, 2016, March 20, 2015, and March 12, 2014, and reported on Form 4s as sales from the reporting person's direct holdings were from the reporting person's indirect holdings, and an additional 10,000, 20,000 and 3,500 shares were transferred from the reporting person's direct holdings to his indirect holdings on March 20, 2016, February 24, 2016 and March 11, 2014, respectively.

3. On February 19, 2014, the reporting person received a grant of 20,000 shares of restricted stock that would vest based upon achievement of specified performance targets. The Issuer determined that the performance conditions were only partially satisfied and, as a result, a portion of the original grant was forfeited as of February 19, 2017.

4. The reporting person disclaims beneficial ownership of these shares owned by his spouse.
