Explanation of Responses:

1. Represents withholding of shares to satisfy tax obligations upon the vesting of restricted stock.

2. Includes 797 shares acquired under the Issuer's ESPP -- 532 on June 30, 2018, and 265 on December 31, 2018.

3. On February 18, 2016, the reporting person received a grant of 16,000 shares of restricted stock, 8,000 of which would vest based upon achievement of specified performance targets. The Issuer determined that the performance conditions were only partially satisfied and, as a result, a portion of the original grant was forfeited as of February 18, 2019.
