Explanation of Responses:

1. Grant of restricted stock under the Farmer Bros. Co. 2017 Long-Term Incentive Plan ("Plan"), granted on December 15, 2021 ("Grant Date"); the restricted stock cliff vests on the one year anniversary of the Grant Date (the "Vesting Date"), subject to continued service to the Company through the Vesting Date and the acceleration provisions of the Plan and restricted stock grant agreement.

2. The amount of securities beneficially owned by Mr. Mottern following this transaction was previously reported as 81,879. The amount of securities actually owned by Mr. Mottern following this transaction was 83,379.
