OTHER EVENTS

Bairnco Corporation (the “Corporation”) is filing herewith a press release issued on Friday, November 19, 2004, as Exhibit 99 which is incorporated by reference herein.  This press release was issued to announce that the Corporation’s Board of Directors has increased the quarterly cash dividend to $.06 per share, from $.05 per share.  The dividend is payable on January 3, 2005 to stockholders of record on the close of business on December 6, 2004.
