1. This transaction represents the withholding of 569 shares of common stock to satisfy the tax withholding obligations incurred by the reporting person upon the vesting on February 18, 2022 of 1,260 shares of common stock originally awarded on February 18, 2021.

2. Stock grant pursuant to the Ameris Bancorp 2014 Omnibus Equity Compensation Plan.

3. This transaction represents the withholding of 5,829 shares of common stock to satisfy the tax withholding obligations incurred by the reporting person upon the vesting on February 19, 2022, of 8,616 shares of common stock originally awarded on February 19, 2019, and the issuance as of February 19, 2022, of an additional 4,308 shares of common stock in respect of such award.
