On December 6, 2012, Epoch Holding Corporation (“Epoch”) issued a press release announcing the execution of an Agreement and Plan of Merger (the “Merger Agreement”) by and among Epoch, The Toronto-Dominion Bank (“TD”) and Empire Merger Sub, Inc., a wholly owned subsidiary of TD (“Merger Sub”). The full text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein in its entirety by reference.
