Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On September 23, 2021, the Board of Directors of Alliant Energy Corporation (the “Company”) approved an amendment and restatement of the Amended and Restated Bylaws of the Company, effective September 23, 2021. The amendments provide that members of the Board of Directors of the Company shall be elected by a majority of the votes cast in the election of directors with respect to that director’s election in non-contested elections, and by a plurality of the votes cast by the shares entitled to vote in the election of directors in contested elections. The amendments further provide that incumbent directors who receive less than a majority of the votes cast in non-contested elections shall tender a resignation to the Chair of the Board which will be considered by the Nominating and Governance Committee and ultimately acted on by the Board of Directors of the Company.
