Section 1 – Registrant’s Business and Operations
Item 1.01. Entry into a Material Definitive Agreement
On October 22, 2008, the Registrant entered into a Reinsurance Agreement with American Heritage Life Insurance Company (“AHL”), effective October 1, 2008. Pursuant to this agreement, AHL will cede 100% of its life insurance and supplemental benefit liabilities, except for certain excluded liabilities, to the Registrant on a yearly renewable term basis.
The Registrant is a wholly-owned subsidiary of Allstate Insurance Company, a wholly-owned subsidiary of The Allstate Corporation. AHL is a wholly-owned subsidiary of American Heritage Life Investment Corporation, a wholly-owned subsidiary of The Allstate Corporation.
