Item 8.01 Other Events
On December 5, 2016, Universal Health Services, Inc. issued a press release announcing that it had signed a definitive agreement to purchase the adult services division of Cambian Group, PLC for a total purchase price of £377 million (or approximately $479 million). This transaction, which is subject to approval by the shareholders of the seller, is expected to be completed by December 31, 2016. A copy of the press release is attached hereto as Exhibit 99.1.
