Section 1—Registrant’s Business and Operations
Item 1.01. Entry into a Material Definitive Agreement
On November 22, 2005, the Executive Compensation Committee of the Board of Directors of Bolt Technology Corporation approved discretionary bonus awards to the President and Chief Executive Officer and each of the other named executive officers (as defined in Item 402 of Regulation S-K). Mr. Soto, President and Chief Executive Officer, was awarded a discretionary bonus of $45,000, Mr. Espeso, Senior Vice President-Finance and Chief Financial Officer, was awarded a discretionary bonus of $11,000, and Mr. Mayerick, Senior Vice President-Marketing and Secretary, was awarded a discretionary bonus of $13,000.
