FirstMerit Corporation amends its Annual Report on Form 10-K for the fiscal year ended December 31, 2002 (filed on March 6, 2003), as set forth in this Form 10-K/A (Amendment No. 1), to include on the cover page of Form 10-K the aggregate market value of the voting and non-voting common equity held by non-affiliates of the registrant as of June 28, 2002, the last business day of the registrant’s most recently completed second fiscal quarter. In addition, as required by Rule 12b-15, promulgated under the Securities Exchange Act of 1934, the registrant’s principal executive officer and principal financial officer are providing new Rule 13a-14 certifications in connection with this Form 10-K/A (Amendment No. 1).
